THE EXECUTIVE BOARD AND EXECUTIVE COMMITTEE

The Executive Board and the Executive Committee meet every two months to define and review the Group's major strategic directions and projects in terms of its portfolio of activities, investments and mergers and acquisitions. They monitor the objectives and operational performance of each of the Group's business Segments.

SUPERVISORY BOARD

The Supervisory Board supervises the proper operation of the Group and reports to the shareholders. It appoints the Chairman and members of the Executive Board and exercises control over the Group's management and administration. In compliance with official guidelines on corporate governance, in 1995 the Board formed, at the recommendation of its Chairman, three special committees: the Audit Committee, the Remuneration Committee and the Appointments Committee.
